In this Legal Alert, we provide a synopsis of the following recent tax-related legislation.

LAW ON CORPORATE INCOME TAX 2025 NO. 67/2025/QH15, effective October 1, 2025, introduces comprehensive reforms to Vietnam’s corporate income tax regime, including updated rules for foreign enterprises, changes to taxable and tax-exempt income, clearer deductible expenses, revised tax rates, and modernized tax incentives. It also expands the scope of CIT to cover e-commerce and digital platform activities that generate income in Vietnam, which may now constitute a permanent establishment.

DRAFT LAW ON PERSONAL INCOME TAX, expected to take effect in 2026, proposes revisions to taxable income, tax-exempt income, and the progressive tax schedule. It modernizes the tax framework to reflect new forms of income, expands exemptions for priority groups, and simplifies tax brackets.

DECREE NO. 293/2025/ND-CP PRESCRIBING STATUTORY MINIMUM WAGES FOR EMPLOYEES WORKING UNDER EMPLOYMENT CONTRACTS, effective January 1, 2026, sets new statutory minimum wages for employees working under labor contracts. It provides updated monthly and hourly minimum wage levels across four regions nationwide.

LAW ON EMPLOYMENT NO. 74/2025/QH15, effective January 1, 2026, introduces significant reforms to the unemployment insurance system, including broader participation requirements, more flexible contribution rates, and expanded benefit regimes.

RESOLUTION NO. 110/2025/UBTVQH15 ADJUSTMENT OF PERSONAL INCOME TAX EXEMPTIONS, effective January 1, 2026, increases personal income tax deductions to VND 15.5 million per month for taxpayers and VND 6.2 million/month per dependent, applying from the 2026 tax period onward.

RESOLUTION NO. 05/2025/NQ-CP ON PILOTING THE CRYPTO ASSET MARKET IN VIETNAM
Adopted by the Government on 9 September 2025 and effective from the same date, Resolution No. 05/2025/NQ-CP (the “Resolution”) establishes a five-year pilot framework governing the offering, issuance, trading, and provision of services related to crypto assets in Vietnam. Since Resolution regulates a narrow range of crypto assets (e.g., certain types of tokenized RWAs), the sales of which are limited to foreign investors, the impact of the pilot program is likely to be muted.

LAW NO. 93/2025/QH15 ON SCIENCE, TECHNOLOGY, AND INNOVATION
Passed on 27 June 2025 and effective from 01 October 2025, the Law on Science, Technology, and Innovation marks the first time “innovation” is formally recognized at the legislative level in Vietnam. The Law introduces new guiding principles and prohibited acts in the fields of science, technology, and innovation, provides criminal liability exemptions for research-related risks, and further expands personal income tax exemptions to encourage innovation and research.

DECREE NO. 245/2025/ND-CP AMENDING AND SUPPLEMENTING REGULATIONS DETAILING THE IMPLEMENTATION OF THE SECURITIES LAW
Issued on 11 September 2025 and effective from the same date, Decree No. 245/2025/ND-CP (“Decree 245”) amends and supplements several provisions of Decree No. 155/2020/ND-CP (“Decree 155”) guiding the implementation of the Securities Law. This Decree 245 introduces key reforms to simplify entry procedures for Vietnam’s securities market, enhance transparency, and strengthen Vietnam’s appeal to foreign investors.

Decree 219/2025/ND-CP regulating foreign workers working in Vietnam

Decree No. 219/2025/ND-CP (“Decree 219”), issued and effective on August 7, 2025, replaces Decrees 152/2020/ND-CP and 70/2023/ND-CP, and sets out regulations governing foreign workers in Vietnam. The new decree introduces significant changes concerning the employment of foreign nationals in Vietnam.

Decree 196/2025/ND-CP amending Decree 111/2011/NDCP on consular certification and consular legalization

Decree No. 196/2025/ND-CP (“Decree 196”), issued on July 04, 2025, effective on August 03, 2025 (except that the electronic certification provisions will take effect from January 1, 2026). Decree 196 amended Decree No. 111/2011/ND-CP on consular certification and consular legalization.

Decree 188/2025/ND-CP on detailed implementation guidance for the amended Law on Health Insurance

Decree No. 188/2025/ND-CP (“Decree 188”), issued on July 01, 2025, effective from August 15, 2025, provides detailed implementation guidance for the amended Law on Health Insurance, specifying contracts for insured medical examination and treatment, procedures for insured medical services, and payment methods.

Decree 167/2025/ND-CP on amendments to Decree No. 08/2015/ND-CP on implementation of the Customs Law on procedures, inspection, supervision, and control

Decree No. 167/2025/ND-CP (“Decree 167”), issued on June 30, 2025, and effective on August 15, 2025. The decree introduces substantial reforms aimed at reducing paperwork, digitizing processes, and promoting electronic customs procedures to facilitate faster clearance and enhanced business efficiency.

Decision 2161/QD-BCT promulgating amended and supplemented administrative procedures in the field of Import and Export under the management of the Ministry of Industry and Trade

Effective from August 22, 2025, Decision No. 2161/QD-BCT, issued on July 25, 2025, by the Minister of Industry and Trade, promulgates the list of amended and supplemented administrative procedures in the field of import and export under the management of the Ministry of Industry and Trade.

We want to notify you of the notable regulations taking effect in June and July 2025:

Circular No. 39/2025/TT-BCT on maximum limits on the value of goods and services used for promotion, maximum discount rates for promoted goods and services

Effective from July 1, 2025, Circular No. 39/2025/TT-BCT caps the promotional value and discount rate at 50% of the pre-promotion price, with exceptions for certain promotional forms and approved programs. A 100% cap or no cap applies in specific cases, such as national promotion programs, public holidays, or fresh food.

Amended Enterprises Law effective from July 01, 2025

Effective July 01, 2025, the 2025 Amended Enterprises Law defines “beneficial owner” and requires enterprises to identify, report, and update such ownership information. It also introduces more explicit rules for determining the market value of capital contributions and shares, based on trading prices, party agreements, or licensed valuations.

Decree No. 70/2025/ND-CP amending regulations on e-invoices and documents.

Effective June 01, 2025, Decree No. 70/2025/ND-CP updates the rules on e-invoices, including revised timelines for invoice issuance and submission, and clarifies the seller’s and buyer’s tax declaration dates. It also sets out detailed procedures for correcting or replacing e-invoices.

Circular No. 32/2025/TT-BTC guiding the implementation of tax administration and e-invoice regulations.

Effective June 01, 2025, Circular No. 32/2025/TT-BTC provides detailed guidance on the Law on Tax Administration and Decree No. 123/2020/ND-CP and Decree No. 70/2025/ND-CP. It clarifies procedures for authorizing third parties to issue e-invoices. It introduces criteria for identifying high-risk taxpayers in e-invoice usage based on compliance history, actual business location, and regulatory red flags.

Decree No. 23/2025/ND-CP on electronic signatures and trusted services.

Effective April 10, 2025, Decree 23/2025/ND-CP sets out regulations on Ensuring Safety of Specialized E-Signatures, including technical and legal conditions for validity under the 2023 Law on Electronic Transactions. When issued with a digital certificate, these signatures hold the same legal value as handwritten ones and are used in internal, sector-specific, or third-party transactions.

Decree No. 87/2025/ND-CP on 2024 land rent reduction.

Issued and effective from April 11, 2025, Decree 87/2025/ND-CP provides a 30% land rent reduction for 2024 for enterprises leasing land directly from the State under annual payment terms. Eligible enterprises must have a valid land lease agreement and legal proof of land use rights, with application procedures also specified to support economic recovery.

We want to inform you of the notable regulations that will take effect in May and June 2025.

Decree No. 69/2025/ND-CP amends regulations governing foreign investors’ purchases of shares in Vietnamese credit institutions.

Effective 19 May 2025, this Decree expands its regulatory scope to include foreign-invested economic organizations and provides more precise definitions of “foreign individual” and “foreign organization.” It also amends and supplements provisions on the foreign ownership limit in Vietnamese credit institutions.

Decree No. 68/2025/ND-CP amending provisions detailing the Law on Handling of Administrative Violations.

Effective 02 May 2025, Decree 68/2025/ND-CP introduces new principles for determining monetary fines in administrative violation cases, providing a more structured approach based on aggravating or mitigating circumstances. It also provides guidance on more precisely deciding whether a violation is repeated or constitutes multiple counts of breach. It permits the electronic seizure of licenses, promoting a more modern and flexible enforcement approach.

Circular No. 19/2025/TT-BTC sets out new regulations for public companies.

This Circular governs the relevant application dossiers, procedures, and timelines for registering a public company or cancelling its status, effective 5 May 2025. Additionally, the Circular introduces new regulations on audited reports on contributed charter capital used in IPO or public company registration dossiers.

Circular No. 03/2025/TT-NHNN on opening and using VND accounts to implement foreign indirect investment activities in Vietnam.

Effective 16 June 2025, this circular introduces a significant reform that eliminates the consular legalization requirement for account-opening documents, significantly simplifies procedures, and reduces processing time. The Circular allows banks and investors to agree on translation requirements, streamlining administrative processes.

We want to notify you that Vietnamese laws that are effective this year.

Law No. 46/2024/QH15 on Notarization (Effective July 1, 2025): Updates notarization rules, mandating it for key transactions (list by Ministry of Justice), requiring Vietnamese (translations for non-speakers), and validating documents upon notary signature (digital for e-documents). Simplifies processes (no request form, multiple submission options) with a 2-day standard period, extendable to 10 for complex cases or by agreement.

Law No. 48/2024/QH15 on Value-Added Tax (Effective July 1, 2025): Revises the 2008 VAT law, expanding taxable entities (e.g., foreign e-commerce suppliers, platform operators). Taxable value varies by sector (e.g., goods + taxes for imports, revenue – winnings for casinos). VAT rates: 0% (exports), 5% (essentials like water, medicine), 10% (others). Bans VAT fraud, raises exemption threshold to VND 200 million for small businesses, adds new non-taxable items (e.g., disaster relief goods), and refines refund rules (e.g., excludes some exports, restricts conditional sectors).

Law No. 55/2024/QH15 on Fire Prevention, Fighting, and Rescue (Effective July 1, 2025): This law replaces the 2001 law, banning insults to firefighters, falsified safety results, and rescue obstruction. It expands inspections to homes, vehicles, and construction sites. It mandates fire safety for mixed-use houses (signs, fireproofing) and integrates safety into urban/rural planning and vehicle design.

Law No. 50/2024/QH15 on Trade Union (Effective July 1, 2025): This law updates the 2012 law, allowing foreign workers (12-month contracts) to join grassroots unions. It defines a four-level union structure (central to grassroots). The 2% union fee is kept, with new options for exemption (e.g., bankruptcy), reduction (e.g., hardship), or suspension (up to 12 months, retroactive).

Law No. 64/2025/QH15 on Promulgation of Legislative Documents (Effective April 1, 2025): This law replaces the 2015 law, reducing document types to 14 (dropping commune-level resolutions). It reinstates Government resolutions for urgent issues or pilots. It expands interpretation rules to resolve disputes, emphasizing meaning, history, purpose, and consistency.

We want to notify you of regulations coming into effect in February 2025.

1. Decree 05/2025/ND-CP amends Decree 08/2022/ND-CP on Environmental Protection.

Effective 6 February 2025, it clarifies Environmental Permit issuance, renewal deadlines, and adjustments for project changes. It requires new Environmental Permits for split projects, stricter wastewater management, and additional compliance for high-risk facilities.

2. Decree 19/2025/ND-CP details the Law on Investment regarding special investment procedures.

Effective 10 February 2025, it introduces Special Investment Procedures (SIP), offering simplified processes with exemptions from Investment Policy Approval, EIAR, and construction permits. However, investors must provide financial guarantees, notify authorities before construction, and comply with environmental regulations, including obtaining necessary licenses.

3. Decree 174/2024/NĐ-CP on administrative sanctions for violations in the field of insurance business

Effective 15 February 2025, it strengthens penalties for insurance violations, including increased fines for fraud, unclear contract terms, misleading advertising, and mismanagement in brokerage firms.

We want to notify you of the recent Vietnamese legislation taking effect in January and February of 2025:

1. Law No. 56/2024/QH15 amending articles of the Law on Tax Administration

Effective 1 January 2025, this law extends tax obligations to all foreign suppliers and requires e-commerce platforms to handle tax payments for sellers starting 1 April 2025.

2. Circular No. 86/2024/TT-BTC regulating tax registration

Effective 6 February 2025, this law replaces tax IDs with personal identification numbers from 1 July 2025 and updates tax registration forms.

3. Resolution No. 174/2024/QH15 on continuing to reduce the value-added tax

Effective 1 January 2025, VAT is kept at 8% for certain goods and services from January through June 2025.

4. Decree No. 158/2024/ND-CP regulations on road transport activities

Effective 1 January 2025, this law requires rented vehicles to display “CONTRACTED VEHICLE” signage, execute a contract before the commencement of passenger transport, and adhere to the specified pickup/drop-off locations in the hire contract.

We want to notify you of the new Vietnamese legislation taking effect next year (2025).

1. Law No. 58/2014/QH13 on social insurance

Effective 1 July 2025, this law expands compulsory participation, reduces the pension contribution period, adds new benefits for participants, and tightens penalties for non-compliance and other requirements.

2. Law No. 51/2024/QH15 on amendments and supplements to the Law on health insurance

Effective from 1 July 2025, except for several articles effective from 1 January 2025, this law supplements regulations on electronic health insurance cards (implemented from 1 January 2025), expanded participant categories, and stricter measures against late or evaded payments.

3. Law no. 37/2024/QH15 on amendments and supplements to the law on asset auctions

Effective 1 January 2025, key updates include expanding auctioned asset categories, enhancing professional requirements for auctioneers, introducing flexibility for auction organizations, and establishing clear regulations for online auctions to ensure transparency and efficiency.

4. Law No. 57/2024/QH15 amends some laws, including the Law on Investment

Effective 1 July 2025, key changes include adding termination conditions for delayed investment projects, expanding the list of prohibited business activities, removing fire prevention services from the list of conditionally allowed activities, and introducing new commercial activities, such as unmanned aircraft businesses, data services, and research on flying vehicles.

5. New Law on Data 2024

Effective from 1 July 2025, it provides a comprehensive framework for managing digital data, covering the creation, development, protection, governance, processing, and use of data, as well as the establishment of the National Data Center and Integrated Database, and outlining the rights and responsibilities of relevant agencies and individuals.

We want to notify you of recent legal updates that could affect your business. Key details are outlined below.

1. Decree No. 147/2024/ND-CP on the management, provision, and use of Internet services and information in cyberspace

Effective from 25 December 2024, this decree requires Internet businesses that (i) lease data storage in Vietnam or (ii) have 100,000 total monthly visits from Vietnam (average statistics over 06 consecutive months) to register and report to the Vietnam Ministry of Information and Communications, among other requirements.

2. Decree No. 124/2024/ND-CP amending and supplementing Decree No. 86/2018/ND-CP regulating foreign cooperation and investment in education

Effective 20 November 2024, this decree expands joint education participation to include foreign “educational organizations” (providers of educational programs established abroad) alongside foreign “educational institutions” and enforces stricter rules for foreign partners in joint education. It also requires foreign universities opening branch campuses in Vietnam to rank among the top 500 global universities in reputable rankings within the past three years. It sets additional criteria for foreign training programs.

3. Decree No. 128/2024/ND-CP amending Decree No. 81/2018/ND-CP on commercial promotion activities

This decree, effective from 01 December 2024, elaborates on the calculation of the maximum value of promotional goods or services. It also removes time restrictions for concentrated promotional programs organized by state agencies and eliminates the notification requirement for several promotional activities.

4. Circular No. 06/2024/TT-BKHCN to amend Circular No. 11/2015/TT-BKHCN guiding Decree No. 99/2013/ND-CP on penalties for administrative violations against regulations on industrial property

Effective 01 December 2024, this circular provides guidelines for suspending part or all of the production, business, and service activities as provided in Decree No. 99/2013/ND-CP. It makes providing a wrong indication concerning an industrial property licensing agreement a violation of industrial property rights.
